We are all brainstorming legal limits for a non profit, but don’t know the situation; or the position of the person who is frustrated. If the problem is poor leadership, or mission creep, or bad branding, the solution may not be to have the organization reported to the state or fed. Maybe a softer, more appropriate solution is a retreat, or some other way to explore “where we’re at, who we are, where we’re heading” And also, I’m curious why (at least from the point of view of the person who brought this up), the board doesn’t seem to care. What kind of board is it? A working board? Are they doing it for the resume item? Is there group think? Maybe triage is called for, before calling higher authorities. If it is a small, mostly local non-profit that you want to succeed, I’d approach officers or write a letter to the board first and illustrate to them how they are failing to fulfill their bylaws and what trouble that can cause for them with the state.
