The Public Charities Division of the Massachusetts Attorney General's
Office has oversight responsibility for charitable non-profits here.  The
main website for the Public Charities Division is at
http://www.mass.gov/ago/doing-business-in-massachusetts/public-charities-or-not-for-profits/

They are very helpful, give them a call and they will be happy to guide you
with your issues.
