[Hidden-tech] Looking for references for legal advice

Hi all,

I am working on an IP licensing agreement with a business partner in Montana. The (draft) agreement specifies IP and income sharing in both directions. We are on high trust terms and are looking for a lawyer to help us finalize our agreements who is comfortable representing both sides.  We are also unsure whether it is better base the agreement in MA or MT.  Looking for advice and pointers.
