[Hidden-tech] Startup company lawyer recommendation?

Do any of you have a recommendation for somebody that would be a good
external counsel for a Silicon Valley startup? Deliverables include setup
of Delaware C-corp, bylaws, all corporate papers, employment contracts, and
possibly financing/equity negotiations and intellectual property.
I'd appreciate any referrals, ideally somebody local.
