In the software company discussion I think you mentioned a fairly high expected cost to create an LLC -- you should be able to create a LLC (or Sub S) using an online service within a day (maybe 2) for $200-500 plus State fees. The time to confirming from the state (Mass anyway) is within 24 hours. We did a sole member LLC to start - can't sell stock but didn't need to initially. As for name, to sign the contract as the exec of the corp (or LLC) when it does not exist yet is probably not a good idea, since it will pre-date the incorporation date (which is what counts) on the State records and so will probably not be considered with the corp and so you will not protected by the corp immunity. We used LegalZoom.com and got all documents for Word on cd and even got the 'pretty corp book and seal' -- which is a bit of a perk, not really needed.
